Company Profile & Background

Beginning in 1986 with the formation of KC Resources, Inc., Reiner Klawiter embarked on his plan of acquiring commercially attractive, low-risk oil and gas producing properties from major oil and gas companies. Mr. Klawiter’s various entity structures now account for the production of over 370 BOE (barrel of oil equivalents) per day.  

KC Resources, Inc. (“KCR”) initially purchased twenty-four producing gas wells in Northern Texas. KCR put up $120,000 of the initial $550,000 purchase price, and the remainder was raised from outside investors. From 1986 to 1995 KCR pursued its growth strategy, acquiring from major industry players producing properties that met KCR’s production and risk criteria. In 1995, KCR was restructured, and the bulk of its holdings were transferred to the Company (Crystal River Oil & Gas, LLC).  

In 1996, Mr. Klawiter formed RMS Monte Christo, LLC (“RMSMC”). The largest shareholder in RMSMC was RMS Energy, Inc. (“RMS”), another Klawiter-controlled entity. The Members of RMSMC unanimously appointed Mr. Klawiter to act as Manager of the RMSMC. RMSMC’s sole holdings consisted of interests in the Hidalgo County, Texas, Monte Christo field. The property was acquired from Shell Western E & P in June, 1996, for a cash price of $21,000,000 and $4,000,000 of additional consideration. The Monte Christo field was sold in November, 1997 for a profit in excess of $9,000,000. 

The Hidalgo acquisition and subsequent liquidation is a good example of one step in Klawiter’s overall strategy of making the Company and its affiliated entities an operating concern with a value exceeding $100,000,000 within five years. In furtherance of this goal, Mr. Klawiter has begun evaluating properties in geographical areas in which the Company has existing operational strength. In addition, the affiliated entities are liquidating properties where financial analysis indicates that the current sales value exceeds future production value. Along with growth fueled by acquisitions, the Company has also begun an extensive review of properties which it currently controls to determine “behind-pipe” and developmental potential. 

To implement its overall objectives, the Company utilizes cutting edge field technologies. Current projects include the drilling of horizontal wells. This technique lowers costs by 20% or more while increasing cumulative oil and gas recovery. The Company is also in negotiations to enter a strategic alliance for the interpretation and exploitation of 3-D seismic data for its leases in California and Texas. 

Mr. Klawiter has a long track record of success in utilizing the aforementioned strategic techniques of property acquisition, development and liquidation, together with the implementation of developing technologies, to accomplish the stated goals of the Company and its affiliates.
 

Management and Employee Profile

 Reiner Klawiter:  Operations Manager

 Reiner Klawiter is the Managing Principal of all of the affiliated companies in the Company. For ten years prior to founding KCR, Mr. Klawiter was a production and operations engineer for Shell Oil, and production Manager for Union Oil. In these capacities, he had primary responsibility for field operations of 280 wells and management of work-over’s, recompletions and new drills. Prior to this, Mr. Klawiter worked as a reservoir engineer for Anadarko Production and the United Bank of Denver. In these positions he routinely appraised producing oil & gas properties, performed fair market and liquidation valuations, compiled cash flow projections taking into account discounted rates, curtailment allowables and projected future sales.

 In 1985 Mr. Klawiter was named Vice-President of Great American Resources, where he established and managed operations and acquisitions. He evaluated and acquired properties valued at $12,000,000 and oversaw production operations for over 350 wells. In 1986 he left Great American to establish KCR. In addition to operating over 250 wells, Mr. Klawiter evaluates acquisitions, development prospects, work-over’s, recompletions and liquidations. He also manages the day-to-day operations of the Company and its affiliates while maintaining close interaction with investors of the Company and its products.

Mr. Klawiter earned a B.S. in Petroleum Engineering from the Colorado School of Mines, and a B.S. in Biology and Chemistry from the University of Northern Colorado. He also took one year of Graduate courses in Petroleum Engineering at the University of Southern California. Mr. Klawiter is a member of the Society of Petroleum Engineers and the Lambda Beta Tau National Science Honorary.

James Spillane:  Vice-President, Land Marketing

 James had over 17 years of oil & gas industry experience prior to joining the Company more than seven years ago He spent over 14 years with the Pennzoil Exploration & Production Company both as an employee and as a consultant overseeing projects in land & production management, economics and operations. Prior to joining the Company, James ran his own land, marketing and economics consulting company in Houston, Texas for 6 years, with clients from major oil & gas companies (such as El Paso, Chesapeake and Apache) as well as independent companies from across the Gulf Coast, Rockies, Permian, Mid-Continent and Offshore basins.

 As the Company’s VP for Land & Marketing, James manages and oversees more than 6,000 mmbtu of gas and 250 bbls of oil production daily for company owned or controlled projects in 7 different states. Under his management, company differentials to NYMEX have been significantly reduced. James also has management and oversight responsibility for all land, legal, pipelines, contracts and real estate operations. His successful pursuit of favorable settlements of suits, claims and liabilities has resulted in over $1,000,000 in additional cash flow to the Company since 2001. James is also responsible for all state compliance issues, merger & acquisition activities, budgets, cash flow estimates, revenue collections, settlements, bonding, insurance and taxes.

 Gary Schelling:  Land Manager, Corporate Development

 Gary has over 25 years of oil & gas industry experience. As the former Principal of a small independent oil & gas company, he was responsible for funding numerous successful drilling programs. Gary has organized, directed and participated in the leasing and drilling of thousands of mineral acres in Colorado, Kansas, Nebraska, New Mexico, Oklahoma, Texas and Wyoming.

As Manager of Corporate Development, Gary is responsible for Crystal River Oil & Gas, LLC acquisitions and divestitures.  Additionally, Gary is responsible for the development, funding and execution of Company drilling, production and re-completion programs. Such programs include select properties as necessary to ensure program suitability and investor satisfaction. Gary is responsible for communicating directly with investors, providing drilling reports and program up-dates. His responsibilities also include the direction and coordination of drilling Crystal River Oil & Gas, LLC operated wells.

DEAN LARRY, Jr.: CONTROLLER

Dean has over 24 years of energy industry experience in financial management, mergers and acquisitions, and operations. Prior positions include having served as Director, Financial Planning & Analysis, Controller, Vice President of Finance & Administration, and Chief Financial Officer for Williams Exploration and Williams Gas Marketing. He also served in senior level financial positions for natural gas pipeline, marketing, and processing companies. During his career he has focused on financial reporting and analysis, controls, and growth. In addition, he has extensive experience with the commercial lending, investment banking, and private equity communities, as well as a broad background in economic evaluations, and acquisition integration activity  He has been extensively involved in the strategic planning, forecasting and budgeting process for each of the companies for which he has worked.

JOHN W. KAVLOCK:

John has over 12 years of experience in corporate accounting and taxation.  He has worked for major accounting firms as Price Waterhouse and Calderon, Jaham & Osborn.  Prior to C.P.A. certification in California Mr. Kavlock worked as a business consultant and Investment Banker for such firms as Merrill Lynch and Paine Webber.  His experience includes corporate accounting, auditing, tax planning, investment analysis and financial  reporting for a variety of business entities.

John has a Bachelor of Science degree in Finance from DePaul University, a Certificate of Accountancy from the University of California and a Masters of Business Administration degree with an emphasis in finance from DePaul University.

 Ray Reed:  Revenue/Joint Interest Accountant

 

Ray has over 25 years of oil & gas experience, having worked for several oil companies in the Denver, Colorado area since 1978. He has extensive experience in joint venture auditing of oil & gas companies, drilling & operations, joint interest, revenue, business and personal accounting. Ray has been involved in the Council of Petroleum Accountants Society (“COPAS”), Joint Venture Accounting Committee.

 Ray has a degree in Business and Accounting from East Washington State University.

 Tony Shumsky:  Assistant Land Manager/Engineering Tech

 Tony brings a wide variety of professional experiences to the table. In the past he has worked as a Business Attorney and Real Estate Developer in Northern Michigan. He spent many years working in federal politics for several United States Senators and a Congressional campaign, in capacities including public relations, legislative analysis and political strategic planning. Tony also worked in Washington, D.C. as a Congressional Analyst and Editor for a major pro-business political action committee.

 Prior to attending law school, he spent a summer working for a small independent oil & gas company in Northern Michigan, assisting the C.E.O. on land leasing, accounting and project development activities. Tony received his B.S. from Western Michigan University in 1993, and graduated Cum Laude from the Michigan State University School of Law in 1998.

 Will Dickinson:  Petroleum Engineer

 Will is a graduate from the Colorado School of Mines with a degree in petroleum engineering.  Will is responsible for all in house engineering projects including reservoir engineering and economic forecasting necessary in corporate acquisitions and divestitures. Mr. Dickinson is responsible for project coordination and authorization for expenditures (AFE’s). Additionally, Will acts as operations supervisor for all field and downhole activities.  Additionally, Will excels with artificial lifts and production optimization. Will’s previous experience with Pioneer Natural Resources brings hands on experience with drilling operations.
